Wolkon Law LLC offers our clients a full range of legal services for businesses of all sizes, from start-ups to multi-million dollar companies.   • Business Formation, Financing, Mergers and Acquisitions.
    We counsel our clients regarding the selection, formation, financing, reorganization and dissolution of business entities including corporations, partnerships, limited partnerships, limited liability partnerships (LLPs), and limited liability companies (LLCs).  We also provide a full range of services in connection with the preparation, negotiation and review of documents necessary for mergers, acquisitions and sales of companies (both stock sales and asset sales) and other business agreements.
  • Corporate Law.
    We provide business planning, transactional and operational advice to our clients in a broad range of corporate and business matters. Our work includes the preparation, review and negotiation of contracts for our clients’ customers, vendors and suppliers, in the areas software, manufacturing, employment, professional services, consulting, publishing, marketing, distribution, trade secret protection and other areas. We also work closely with our clients on business formation and dissolution matters, including shareholder, partnership, LLC and other agreements. We spend a great deal of time with our clients counseling them on daily operational issues to increase efficiency, and to help minimize costs and litigation risks. We also handle shareholder and partnership agreements, and disputes when they arise.
  • Employment Law.
    We represent many large and small companies, and individual executives, in the preparation, negotiation and review of employment contracts, non-competition agreements, confidentiality agreements, equity plans, and other agreements related to the employment relationship. We serve as regular advisors to our clients on matters pertaining to employee hiring and termination practices, discrimination matters, confidentiality and non-competition agreements, COBRA, employee benefits, OSHA compliance, and other issues. We also prepare employee policy manuals, disciplinary and benefit forms, and other documents for human resources and benefit matters.
  • Commercial Litigation.
    We have a diverse commercial litigation practice, enabling us to provide a depth of experience in a variety of complex business and commercial disputes. We regularly appear in state and federal courts and administrative agencies, handling all aspects of trial work, appeals, arbitration and mediation. We have achieved superior results for our clients in a wide variety of complex litigation matters including business and contract disputes, employment matters, real estate matters, debtor/creditor issues, shareholder and partnership matters, and general commercial disputes.
  • E-commerce and Technology.
    We are actively involved in the representation and counseling of technology, software and Internet-based companies involved in creating, developing, marketing and selling technology-based goods and services. Our work includes counseling, negotiation, review and preparation of development, hosting, licensing, software and other agreements with special emphasis on deliverables, scope of work and ownership issues. We also remain current with the rapidly evolving nature of technology-related agreements and business issues, including protecting intellectual property rights, non-disclosure, non-solicitation, non-compete, trade secret, licensing, management, financing, strategic alliances, joint ventures and special partnering agreements.
  • Professionals and Related Associations.
    We have extensive experience representing clients in matters before various professional licensing agencies, including the Board of Bar Overseers, Division of Professional Licensure, and other agencies in Massachusetts. We also provide business advice and counsel to members of the legal, medical, chiropractic, dental, audiology, building and other licensed professions in various matters relating to their practices, including the formation, purchase, sale, merger, restructuring and dissolution of practices, practice management issues, employment matters, and representation in disciplinary and licensing matters.
